Terms Of Use

These Terms of Use (“Terms”) govern your access to and use of the iTask websites, web portals, mobile applications, software, APIs, and related products and services (collectively, the “Services”).
The Services are provided by the applicable iTask entity responsible for your account, subscription, quotation, or service agreement:
I TASK PTE. LTD. (UEN: 201831821R), for customers contracting with our Singapore entity; or
I TASK SDN. BHD. (Registration No. 1326365-K), for customers contracting with our Malaysia entity.
In these Terms, “iTask”, “we”, “us”, or “our” refers to the applicable entity above and, where appropriate, its related companies.
By accessing or using the Services, creating an account, or using an account provided by an organisation that subscribes to the Services, you agree to be bound by these Terms and our Privacy Policy.
If you access or use the Services on behalf of a company, organisation, or other legal entity, you represent that you have the authority to act on behalf of that entity where applicable.
If you do not agree to these Terms, you must not access or use the Services.
1. About iTask
iTask provides cloud-based software solutions for field service, cleaning, facility, workforce, maintenance, security, patrol, and operations management.
Depending on the products, subscription, configuration, and services selected by a customer, the Services may include features such as:
Staff and workforce management;
Job and task scheduling;
Attendance and working-hour records;
GPS and QR code check-in and check-out;
Location, site, area, and zone management;
Digital checklists and forms;
Photo and document submission;
Incident, defect, and support ticket reporting;
Patrol and inspection management;
Service and operational reports;
Customer and management portals;
Notifications and alerts;
Analytics and dashboards;
Asset management;
Smart facility and IoT integrations; and
Other related features made available by iTask from time to time.
Features may vary depending on the customer’s subscription plan, configuration, country, application version, and services purchased.
2. Business Customers and Authorised Users
iTask is primarily a business-to-business software platform.
Businesses and organisations may subscribe to the Services and create or authorise accounts for their employees, cleaners, technicians, security personnel, supervisors, administrators, contractors, customers, or other authorised persons (“Authorised Users”).
If your account has been created or provided by an organisation, your access to the Services may be managed by that organisation.
The organisation may have the ability to:
Create, modify, suspend, or terminate your account;
Assign roles and permissions;
Access information submitted through your account;
Determine which locations, jobs, schedules, or other information you can access; and
Configure features available to you.
You must only use the Services for purposes authorised by the organisation responsible for your account.
3. Account Registration and Security
Certain Services require an account.
You agree to:
Provide accurate and current information;
Keep your login credentials confidential and secure;
Not share your account or password with unauthorised persons;
Take reasonable measures to prevent unauthorised access to your account;
Promptly notify iTask or your organisation’s administrator if you suspect that your account has been compromised; and
Be responsible for activities performed through your account to the extent permitted by applicable law.
You must not impersonate another person or use another person’s account without authorisation.
iTask may suspend, restrict, or require verification of an account where we reasonably believe that the account has been compromised, used fraudulently, or used in violation of these Terms.
4. Customer Administrators
Customers may designate one or more users as administrators.
Administrators may have the ability to:
Create and manage user accounts;
Assign user roles and permissions;
Create and manage locations, sites, areas, zones, schedules, jobs, and tasks;
Access operational information and reports;
Configure organisation-specific settings;
Assign work to employees or contractors;
Manage forms, templates, reports, and other content; and
Manage other users’ access to the Services.
The customer is responsible for determining appropriate administrator access and permissions within its organisation.
iTask is not responsible for actions taken by a customer’s authorised administrators within the permissions granted to them.
5. Acceptable Use
You must use the Services only for lawful business and operational purposes.
You must not:
Use the Services for unlawful, fraudulent, abusive, or malicious activities;
Attempt to gain unauthorised access to another account, organisation, system, server, or network;
Circumvent or attempt to circumvent security measures or access controls;
Introduce viruses, malware, malicious code, or other harmful material;
Interfere with, overload, damage, or disrupt the operation or security of the Services;
Use automated tools to scrape, extract, copy, or collect information from the Services except where expressly authorised by iTask;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services except where such restriction is prohibited by applicable law;
Copy, reproduce, modify, resell, sublicense, or distribute the Services except as expressly authorised;
Use the Services in a manner that infringes another person’s intellectual property, privacy, confidentiality, or other legal rights;
Upload unlawful, fraudulent, misleading, defamatory, harmful, or infringing content;
Attempt to access Customer Data belonging to another organisation without authorisation;
Use another user’s login credentials without permission; or
Use the Services or information obtained from the Services to create or assist in creating a competing product through unauthorised copying, extraction, or reverse engineering.
We may suspend or terminate access where we reasonably determine that these requirements have been violated.
6. Customer Data
Customers and Authorised Users may submit, upload, store, transmit, or generate information through the Services, including:
Employee and user information;
Customer information;
Locations and site information;
Schedules and assignments;
Attendance and working-hour records;
GPS and location information;
Photographs and images;
Digital forms and checklists;
Reports and documents;
Signatures;
Incident and defect records;
Asset information;
Comments and notes; and
Other operational information.
Collectively, this information is referred to as “Customer Data”.
As between iTask and the customer, the customer retains ownership of its Customer Data.
The customer grants iTask the rights necessary to host, store, process, transmit, reproduce, display, back up, and otherwise use Customer Data solely as reasonably necessary to:
Provide and operate the Services;
Maintain, improve, and secure the Services;
Provide technical and customer support;
Troubleshoot technical issues;
Prevent fraud, abuse, or security threats;
Perform backups and disaster recovery;
Comply with applicable laws and legal obligations; and
Perform other activities authorised by the customer or described in our Privacy Policy.
iTask does not acquire ownership of Customer Data merely because it is stored or processed through the Services.
7. Customer Responsibilities for Personal Data
Customers are responsible for ensuring that they have a lawful basis and all necessary notices, permissions, authorisations, and consents to collect, use, disclose, and submit personal data through the Services.
This may include personal data relating to:
Employees;
Cleaners;
Security personnel;
Technicians;
Contractors;
Supervisors;
Customers;
Residents;
Visitors; and
Other individuals.
Where a customer enables features involving GPS location, photographs, attendance records, employee monitoring, signatures, contact information, or similar information, the customer is responsible for ensuring that its use of those features complies with applicable privacy, data protection, employment, and other laws.
Our own collection and processing of personal data is further described in our Privacy Policy.
8. Location, GPS and Attendance Information
Certain features of the Services may collect or process device location information, including GPS information, where enabled and permitted by the user’s device settings and applicable permissions.
Location information may be used for functions including:
Employee or worker check-in and check-out;
Attendance verification;
Job or site verification;
Patrol verification;
Location-based task completion;
Operational monitoring; and
Other location-based functionality requested by the customer.
GPS and other device-based location technologies may not always be completely accurate.
Accuracy may be affected by factors including:
Device hardware;
Internet connectivity;
Mobile network availability;
GPS signal strength;
Building structure;
Indoor locations;
Device operating system;
Battery-saving settings;
User permissions; and
Other technical factors.
Customers should not rely on GPS or location information as the sole basis for employment, payroll, disciplinary, safety, legal, or other significant decisions where independent verification is appropriate.
9. Photographs, Documents and User Content
The Services may allow users to upload photographs, videos, documents, signatures, comments, forms, reports, and other materials (“User Content”).
You represent that you have the necessary rights, authority, and permissions to submit User Content to the Services.
You must not upload content that:
Violates applicable laws;
Infringes another person’s intellectual property rights;
Violates another person’s privacy or confidentiality;
Contains malicious software;
Is fraudulent or deliberately misleading; or
Is otherwise prohibited under these Terms.
The customer remains responsible for determining what information its users are permitted or required to upload through the Services.
10. Third-Party Services and Integrations
The Services may integrate with or rely upon third-party products, platforms, infrastructure, devices, and services.
These may include, without limitation:
Cloud hosting and storage providers;
Content delivery networks;
Mapping and location services;
Email providers;
SMS and messaging providers;
Push notification services;
IoT devices and sensors;
Mobile operating systems;
App stores;
Authentication services; and
Other third-party technology providers.
Third-party services may be subject to their own terms, privacy policies, availability, pricing, and technical limitations.
iTask does not control third-party services and is not responsible for interruptions, failures, changes, or discontinuation caused solely by third-party providers outside our reasonable control.
We will, however, take commercially reasonable steps to maintain the operation and availability of the Services under our control.
11. Subscription, Fees and Payment
Certain Services require a paid subscription.
Subscription fees, billing periods, user limits, usage limits, storage limits, implementation fees, setup fees, customisation fees, hardware fees, managed service fees, and other commercial terms may be specified in:
A quotation;
Order form;
Proposal;
Subscription agreement;
Service agreement;
Statement of work; or
Other written agreement between iTask and the customer.
Unless otherwise agreed in writing:
Fees are payable according to the applicable quotation, invoice, or agreement;
Applicable taxes may be charged in addition to stated fees;
Customers are responsible for providing accurate billing information;
Subscription access may be suspended where payment remains overdue after reasonable notice; and
Fees already paid are non-refundable except where required by applicable law or expressly agreed otherwise.
If there is any conflict between these Terms and a separately signed agreement between iTask and a customer, the signed agreement will prevail to the extent of the conflict.
12. Free Trials, Demonstrations and Pilot Programmes
iTask may provide product demonstrations, trial accounts, proof-of-concept access, pilot programmes, or evaluation access.
Such access may be limited by:
Duration;
Number of users;
Features;
Locations;
Storage;
Usage; or
Other restrictions determined by iTask.
Unless otherwise agreed in writing, iTask may modify, suspend, or discontinue trial, demonstration, or pilot access at any time.
Data created during a trial or demonstration may be deleted following expiry of the trial unless the customer proceeds with a paid subscription or otherwise agrees with iTask.
13. Service Availability and Changes
We aim to provide reliable access to the Services but do not guarantee that the Services will operate without interruption or error at all times.
The Services may occasionally be unavailable because of:
Scheduled maintenance;
Emergency maintenance;
Software updates;
Infrastructure upgrades;
Internet or telecommunications failures;
Cloud service interruptions;
Third-party service interruptions;
Security incidents;
Cyberattacks;
Power failures;
Events outside our reasonable control; or
Other technical circumstances.
We may add, modify, improve, replace, or discontinue features as the Services evolve.
Where a material change significantly affects a paid customer’s use of the Services, we will endeavour to provide reasonable notice where practicable.
14. Mobile Applications and Updates
Certain Services are provided through mobile applications.
Users may be required to install updates to continue using particular features or to maintain compatibility, reliability, performance, and security.
Some functionality may depend on:
Compatible mobile devices;
Supported operating system versions;
Internet connectivity;
Camera access;
Location permissions;
Storage permissions;
Notification permissions;
Bluetooth or other device capabilities; or
Other device settings.
Some updates may be mandatory where an older application version is no longer compatible with the Services or creates security, data integrity, or operational risks.
iTask is not responsible for problems resulting from unsupported devices, outdated operating systems, disabled permissions, modified devices, or circumstances outside our reasonable control.
15. Offline Functionality and Data Synchronisation
Certain features may allow users to perform limited activities while an Internet connection is unavailable.
Information created or captured while offline may be stored temporarily on the user’s device and synchronised with the Services when connectivity becomes available.
Successful synchronisation may depend on factors including network availability, device storage, application status, permissions, and the integrity of locally stored information.
Users should ensure that pending information has been successfully synchronised before deleting the application, clearing application data, resetting the device, or changing devices.
16. Reports, Analytics and Operational Information
Reports, attendance information, working-hour calculations, analytics, dashboards, notifications, schedules, and other information generated by the Services are based on:
Information submitted by users;
Customer configurations;
Device information;
System settings; and
Automated system processing.
Customers are responsible for reviewing and verifying information before relying upon it for:
Payroll;
Salary calculations;
Employment decisions;
Disciplinary actions;
Customer billing;
Regulatory reporting;
Safety decisions;
Contractual obligations; or
Other significant purposes.
Unless expressly agreed otherwise in writing, the Services are operational management tools and are not intended to replace professional legal, accounting, payroll, employment, safety, or regulatory advice.
17. Intellectual Property
The Services, including the software, source code, mobile applications, websites, web portals, designs, interfaces, databases, technology, documentation, trademarks, logos, graphics, and other materials provided by iTask, are owned by or licensed to iTask and are protected by applicable intellectual property laws.
Subject to payment of applicable fees and compliance with these Terms, iTask grants customers and their Authorised Users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for their authorised business purposes during the applicable subscription period.
No ownership rights in the Services are transferred to customers or users.
You may not reproduce, modify, distribute, sell, sublicense, reverse engineer, or commercially exploit any part of the Services except where expressly permitted by iTask or applicable law.
18. Feedback and Suggestions
Customers and users may provide suggestions, ideas, recommendations, feature requests, or other feedback concerning the Services (“Feedback”).
You agree that iTask may use Feedback for the purpose of developing, improving, operating, and commercialising its products and services without restriction or compensation.
Providing Feedback does not grant iTask ownership of your Customer Data or confidential information.
19. Confidentiality
During use of the Services, customers and users may have access to confidential or proprietary information belonging to:
Their organisation;
iTask;
Other users; or
Third parties.
Confidential information must not be disclosed, copied, or used except:
As authorised by the owner of the information;
As reasonably necessary to use or provide the Services;
As permitted under an applicable agreement; or
As required by applicable law.
Customers are responsible for ensuring that their users appropriately protect confidential information accessible through their accounts.
20. Suspension and Termination
iTask may suspend or restrict access to all or part of the Services where reasonably necessary because of:
Non-payment of applicable fees;
A material violation of these Terms;
Fraudulent or unlawful activity;
A security risk;
Unauthorised access;
Use that threatens the operation of the Services;
Use that may harm other customers or users;
A legal or regulatory requirement; or
Termination or expiry of the applicable customer subscription.
Where reasonably practicable, we will provide notice and an opportunity to remedy the issue before suspension.
However, immediate action may be taken where reasonably necessary to protect security, prevent fraud, comply with legal requirements, or prevent material harm.
Customers may terminate their subscription in accordance with their applicable quotation, order form, service agreement, subscription agreement, or other commercial agreement.
21. Data Following Termination
Following termination or expiry of a subscription, the customer’s and Authorised Users’ access to the Services and Customer Data may cease.
Customers are responsible for exporting or requesting any required data before termination where export functionality is available.
Subject to applicable law and any separate agreement with the customer, iTask may retain Customer Data for a reasonable period following termination for purposes including:
Customer-requested recovery;
Backup and disaster recovery;
Legal obligations;
Security;
Fraud prevention;
Accounting and audit requirements; and
Other legitimate operational purposes.
Following the applicable retention period, Customer Data may be deleted or anonymised in accordance with iTask’s data retention practices and applicable law.
Nothing in this section requires iTask to retain information where deletion is required by applicable law.
22. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
While iTask takes reasonable measures to maintain the reliability, availability, security, and accuracy of the Services, we do not warrant that:
The Services will always be uninterrupted or error-free;
All defects will be corrected immediately;
Information entered by users will always be accurate;
GPS or location information will always be precise;
Every email, SMS, push notification, or message will be delivered successfully;
Third-party services will always remain available;
Every device will be compatible with the Services; or
The Services will satisfy every customer’s individual legal, regulatory, employment, operational, or business requirement.
Nothing in these Terms excludes any warranty, condition, right, or remedy that cannot lawfully be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable law, iTask will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential losses arising out of or relating to the Services.
This includes, without limitation, loss of:
Profits;
Revenue;
Business;
Business opportunity;
Anticipated savings;
Goodwill; or
Data,
to the extent such loss may lawfully be excluded.
To the maximum extent permitted by applicable law, iTask’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees paid or payable by the relevant customer to the applicable iTask entity for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
24. Indemnity
To the extent permitted by applicable law, the customer agrees to indemnify and hold harmless iTask, its related companies, directors, officers, employees, and representatives against third-party claims, losses, damages, liabilities, and reasonable expenses arising directly from:
The customer’s unlawful use of the Services;
Customer Data or User Content that infringes third-party rights;
The customer’s failure to obtain legally required permissions, notices, or consents;
A material breach of these Terms by the customer;
Unauthorised use of the Services permitted or caused by the customer; or
The customer’s violation of applicable laws in connection with its use of the Services.
This provision does not apply to the extent that a claim results from iTask’s own breach, negligence, wilful misconduct, or violation of applicable law.
25. Privacy and Data Protection
Privacy and data protection are important to iTask.
Our collection, use, disclosure, storage, and processing of personal data are governed by our Privacy Policy and applicable data protection laws.
Depending on the applicable iTask entity and circumstances, this may include applicable privacy and data protection legislation in Singapore and Malaysia.
Customers using the Services to collect or process personal data are responsible for ensuring that their own collection and use of personal data complies with applicable laws.
Where required or agreed with a customer, additional data processing terms may apply.
If there is a conflict between these Terms and an applicable Data Processing Agreement entered into between iTask and a customer regarding the processing of personal data, the Data Processing Agreement will prevail in relation to that processing.
26. Changes to These Terms
We may update these Terms from time to time to reflect changes to:
Our Services;
Our business practices;
Technology;
Security requirements;
Legal or regulatory requirements; or
Other operational requirements.
The updated Terms will be published on our website with a revised “Last Updated” date.
Where changes materially affect existing customers’ rights or obligations, we will take reasonable steps to provide additional notice where required by applicable law.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
27. Governing Law and Jurisdiction
The governing law applicable to these Terms depends on the iTask entity with which the customer contracts.
Singapore Customers
Where the customer contracts with I TASK PTE. LTD., these Terms are governed by and construed in accordance with the laws of Singapore.
Subject to any dispute resolution provisions contained in a separate agreement, the courts of Singapore shall have jurisdiction over disputes arising out of or relating to these Terms.
Malaysia Customers
Where the customer contracts with I TASK SDN. BHD. (Registration No. 1326365-K), these Terms are governed by and construed in accordance with the laws of Malaysia.
Subject to any dispute resolution provisions contained in a separate agreement, the courts of Malaysia shall have jurisdiction over disputes arising out of or relating to these Terms.
Separate Agreements
If a quotation, order form, service agreement, subscription agreement, or other written agreement between iTask and the customer specifies a different governing law, jurisdiction, or dispute resolution procedure, that agreement will prevail to the extent of any inconsistency.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where appropriate.
28. Force Majeure
iTask will not be responsible for a failure or delay in performing its obligations where the failure or delay results from circumstances beyond its reasonable control.
Such circumstances may include:
Natural disasters;
Floods;
Fires;
Epidemics or pandemics;
War or civil unrest;
Government actions;
Internet or telecommunications failures;
Power failures;
Cyberattacks;
Cloud infrastructure failures;
Third-party platform outages; or
Other events beyond iTask’s reasonable control.
We will take commercially reasonable steps to minimise the effect of such events on the Services.
29. General Provisions
Entire Agreement
These Terms, together with the applicable Privacy Policy and any quotation, order form, subscription agreement, service agreement, or other written agreement applicable to the customer, constitute the agreement governing the customer’s use of the Services.
Priority of Agreements
Where there is a conflict between these Terms and a separately signed written agreement between iTask and the customer, the separately signed agreement will prevail to the extent of the conflict.
Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver
A failure or delay by iTask to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
Assignment
Customers may not assign or transfer their rights or obligations under these Terms without iTask’s prior written consent, except where permitted under a separate written agreement.
iTask may assign or transfer these Terms as part of a merger, acquisition, corporate restructuring, reorganisation, or sale of all or substantially all of the relevant business or assets.
No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, or agency relationship between iTask and the customer or any Authorised User.
